RHINO - Terms of Use

The following are the terms of use that govern your use of the RHINO app that is developed, enhanced, supported and maintained by Chella Software Private Limited (CSPL), a company registered in India.

 

Our Privacy Policy and any other policies, rules or guidelines that may be applicable to particular offers or features on RHINO are incorporated in these Terms. By using the RHINO app or any other interface that will be provided in place of the mobile application (Application), or any of the services offered through the Application you expressly agree to these Terms, as updated from time to time.

 

By clicking on the “Continue” button provided in the RHINO, You expressly accept these Terms and the Privacy Policy and agree to be legally bound by them.

Notice regarding future changes to the Terms of Service:

CSPL may make changes to these Terms at any time. Any changes will be effective immediately when a revised version of these Terms is posted. The "Last Updated" date above will tell you when these Terms were last revised. By continuing to use the Application after that date, you agree to the changes.

1. Account registration

  • You will be required to register for an account to use the services offered by the Application. you shall ensure and confirm that the account information and all information provided by you is complete, accurate and up-to-date. If there is any change in the account information, or if any information is found to be incomplete or incorrect, you shall promptly update your account information on the Application or request CSPL for information revision or update. If you provide any information that is untrue, inaccurate, unauthorised, not current, or incomplete (or becomes untrue, inaccurate, not current, or incomplete), or if CSPL has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, CSPL has the right to refuse to offer any and all the services.

  • Your mobile number will be used to identify your account.

  • Your mobile number may not be used in the name of another person especially with the intent to impersonate that person.

  • You will be responsible for the confidentiality of your mobile number and its use on the Application. CSPL will not be liable for any harm caused owing to the disclosure of your mobile number to any third party and their use of your mobile number on RHINO.

  • You may not use another user's account without their permission.

  • You will immediately notify us in writing if you discover any unauthorized use of your account or other account-related security breach. If CSPL receives a complaint that your account violates someone else's rights, or violates our policies CSPL may cancel or block your account.

2. Code of Conduct

You agree that you will comply with all applicable laws, rules and regulations, and that you will not:

  • Restrict or inhibit any other person from using RHINO;

  • Use RHINO for any unlawful purpose;

  • Express or imply that any statements you make are endorsed by us, without our prior written consent;

  • Impersonate any person or entity, whether actual or fictitious;

  • Engage in spamming or flooding;

  • Harvest or collect information about RHINO users;

3. Ownership of Content and Grant of Conditional License

The Application and all data, text, designs, pages, print screens, images, artwork, photographs, audio and video clips, and HTML code, source code, or software that reside or are viewable or otherwise discoverable on the Application, and all services offered, (collectively, termed as the "Content") are owned by CSPL or its authorised service providers. CSPL or its authorized service providers, as the case may be, own a copyright and other intellectual property to the Application and Content. CSPL may change the Content and features of the Application at any time.

Material featured on the Application may be subject to copyright and other intellectual property right restrictions. With regards to reproducing any of the material on the Application, you will be responsible for any liabilities or consequences that arise from reproducing any such material or content available on the Application. In any case if the material available is reproduced, it should be done accurately and it is not to be used in a derogatory manner or in a misleading context. Wherever the material is being published or issued to others, the source must be prominently acknowledged. However, the permission to reproduce this material shall not extend to any material which is identified as being copyright of CSPL or a third party. Authorization to reproduce such material must be obtained from the copyright holder concerned.

CSPL grants you to use the Application and its Content as permitted by these Terms for non-commercial purposes only if, as a condition precedent, you agree that you will not:

  • Submit any software or other materials that contain any viruses, worms, Trojan horses, defects, date bombs, time bombs or other items of a destructive nature;

  • Manipulate identifiers, including by forging headers, in order to disguise the origin of any posting that you submit;

  • Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble the Application, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Content;

  • Remove any copyright, trademark or other proprietary rights notices contained on the Application;

  • Use any computer program, bot, robot, spider, offline reader, site search/retrieval application or other manual or automatic device, tool, or process to retrieve, index, data mine, or in any way reproduce or circumvent the security structure, navigational structure, or presentation of the Content or the Application, including with respect to any CAPTCHA displayed on the Application;

  • Use any automated software or computer system to access the Application and the Content.

  • Take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;

  • Access, reload, or refresh transactional event or service provider content, or make any other request to transactional servers, beyond reasonable limits;

  • Reproduce, modify, display, publicly perform, distribute or create derivative works of the Application or the Content;

  • Use the Application or Reproduce, modify, display, publicly perform, distribute or create derivative works of the Application or the Content;

  • the Content in an attempt to, or in conjunction with, any device, program or service designed to circumvent any technological measure that effectively controls access to, or the rights in, the Application and/or Content in any way including, without limitation, by manual Decode, decrypt, modify, or reverse engineer underlying algorithms of the Application;

  • Use bot technology to access the Application or its Content; for the avoidance of doubt, this specifically prohibits you from using automated software on the Application, and prohibits you from circumventing any security measure, access control system, or other technological control or measure on the Application.

Further, you undertake not to host, display, upload, modify, publish, transmit, store, update or share any information that:

  • is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, including bodily privacy, insulting, or harassing on the basis of gender, libelous, racially, or ethnically objectionable, relating or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;

  • is harmful to child;

  • violates any law for the time being in force;

  • threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other nation;

  • is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity, or agency for financial gain or to cause any injury to any person;

  • disrupt or interfere with the security of, or otherwise cause harm to, the Application, systems resources, accounts, passwords, servers, or networks connected to or accessible through the Application or any affiliated or linked sites;

  • violate the Terms contained herein or elsewhere; and

  • reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Application.

The registered and unregistered trademarks, logos, and service marks displayed on the Site are owned by us or our service provider. You may not use our trademarks, logos, and service marks in any way without our prior written permission.

4. Accessing services on the Application

You may not attempt to conceal your identity by using multiple Internet Protocol addresses or mobile no, or by any other means, to use the services on the Application.

You will not hold us liable if you do not comply with laws related to your transactions. We may provide law enforcement with information you provide to us related to your transactions to assist in any investigation or prosecution.

You will not use bot technology to access the Application or its Content; for the avoidance of doubt, this specifically prohibits you from using automated script based or automated software on the Application, and prohibits you from circumventing any security measure, access control system, or other technological control or measure on the Application that is used to provide you services or to maintain the integrity of the services offered through the Application.

5. Limitations of multi-lingual interface

Translations on the Application are prepared by third party translators or by the service providers. While reasonable efforts are made to provide accurate translations, portions may be incorrect. Some files, and other items cannot be translated. In addition, some applications and/or services may not work as expected when translated due to language restrictions. CSPL will not be liable in any way if the translations are inaccurate or provide a different meaning other than intended.

6. Access to Service Providers

The Application allows you to access the Content provided by third party Service providers. The fact that these services are offered on the Application does not indicate any approval or endorsement of those services. CSPL has no control over the activities of these service providers. CSPL is not responsible for the content and services offered by these service providers, or their privacy practices. It is strongly recommended that you become familiar with the terms of use and practices of any service provider that you may use through the Application. Your use of the services, offered by the service providers is at your own risk, and is subject to applicable laws and the terms of those service providers. It is up to you to take precautions to ensure that whichever service provider you select or the information that you use through the Application is free of viruses, worms, Trojan horses, defects, date bombs, time bombs, and other items of a destructive nature. We will not be in any way liable for the services, content, information etc., that you receive from a service provider.

7. Disclaimers and release

YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK AND SUBJECT TO THE FOLLOWING DISCLAIMERS. WE ARE PROVIDING OUR SERVICES ON AN “AS IS” BASIS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL CODE. WE DO NOT WARRANT THAT ANY INFORMATION PROVIDED BY US IS ACCURATE, COMPLETE, OR USEFUL, THAT OUR SERVICES WILL BE OPERATIONAL, ERROR FREE, SECURE, OR SAFE, OR THAT OUR SERVICES WILL FUNCTION WITHOUT DISRUPTIONS, DELAYS, OR IMPERFECTIONS. CSPL DOES NOT CONTROL, AND ARE NOT RESPONSIBLE FOR, CONTROLLING HOW OR WHEN USERS OR SERVICE PROVIDERS USE THE APPLICATION OR THE CONTENT AND INTERFACES THE APPLICATION PROVIDE. CSPL IS NOT RESPONSIBLE FOR AND ARE NOT OBLIGATED TO CONTROL THE ACTIONS OR INFORMATION (INCLUDING CONTENT) OF USERS OR OTHER THIRD-PARTIES. YOU RELEASE CSPL, OUR SUBSIDIARIES, AFFILIATES, AND OUR AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AND AGENTS (TOGETHER, THE “CSPL AND PARTIES”) FROM ANY CLAIM, COMPLAINT, CAUSE OF ACTION, CONTROVERSY, DISPUTE, OR DAMAGES (TOGETHER, “CLAIM”), KNOWN AND UNKNOWN, RELATING TO, ARISING OUT OF, OR IN ANY WAY CONNECTED WITH ANY SUCH CLAIM YOU HAVE AGAINST ANY THIRD-PARTIES. YOUR RIGHTS WITH RESPECT TO THE CSPL AND PARTIES ARE NOT MODIFIED BY THE FOREGOING DISCLAIMER IF THE LAWS OF YOUR COUNTRY OR TERRITORY OF RESIDENCE, APPLICABLE AS A RESULT OF YOUR USE OF OUR SERVICES, DO NOT PERMIT IT.

8. Limitation of liability

CSPL WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR CONSEQUENTIAL, SPECIAL, PUNITIVE, INDIRECT, OR INCIDENTAL DAMAGES RELATING TO, ARISING OUT OF, OR IN ANY WAY IN CONNECTION WITH TERMS (HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, INCLUDING NEGLIGENCE), EVEN IF CSPL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY RELATING TO ANY CLAIM FROM ANY AND ALL USERS, ARISING OUT OF, OR IN ANY WAY IN CONNECTION WITH THE TERMS WILL BE LIMITED TO THE ACTUAL DIRECT DAMAGES INCURRED BUT WILL NOT EXCEED INDIAN RUPEES TEN THOUSAND. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS.

 

 

9. Dispute resolution

You agree that any claim or cause of action you have against CSPL relating to, arising out of, or in any way in connection with our Terms, and for any claim or cause of action that CSPL files against you, you and CSPL agree that any such claim or cause of action (each, a “Dispute,” and together, “Disputes”) will be resolved through any of such good faith negotiations and appropriate mediation proceedings within a period of 30 (thirty) days. On non-resolution of all or any of such Disputes as aforesaid, such Disputes will be resolved exclusively in courts of Madurai in India, and you agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claim or cause of action, and the laws of the Republic of India will govern any such claim or cause of action without regard to conflict of law provisions. Without prejudice to the foregoing, you agree that, in our sole discretion, we may elect to resolve any Dispute we have with you in any competent court in the country in which you reside that has jurisdiction over the Dispute.

The laws of the Republic of India govern our Terms, as well as any Disputes, which might arise between CSPL and you, without regard to conflict of law provisions.

THESE TERMS ALSO LIMIT THE TIME YOU HAVE TO BRING A CLAIM OR DISPUTE, CSPL and you agree that for any Dispute CSPL and you must institute legal proceedings within one year after the cause of action first arises; otherwise, such Dispute is permanently barred. This means that if CSPL or you do not bring a Claim within the said time the Dispute first arose, then the Dispute will be dismissed because it was started too late.

10. Indemnification

If anyone brings a claim ("Third-Party Claim") against CSPL or our authorized services providers related to your actions, information, or content on the Application, or any other use of the Application or the Content by you, you will, to the maximum extent permitted by applicable law, indemnify, and hold CSPL and the authorized service providers harmless from and against all liabilities, damages, losses, and expenses of any kind (including reasonable legal fees and costs) relating to, arising out of, or in any way in connection with any of the following: (a) your access to or use of the Application and Content, including information and content provided in connection therewith; (b) your breach of our Terms or applicable law; or (c) any misrepresentation made by you. You will cooperate as fully as required by us in the defense or settlement of any Third-Party Claim.

11. Violation of these Terms

CSPL may investigate any violation of these Terms, including unauthorized use of the Application. CSPL may provide law enforcement with information you provide to us related to your transactions to assist in any investigation or prosecution of you. CSPL may take legal action if it is felt to be appropriate. If CSPL determines that you have violated these Terms or the law, or for any other related reason, it may block your account and will prevent you from accessing the Application at any time without any notice.

 

12. Grievance Redressal Mechanism

If you have any grievances, or complaints or concerns with respect to the Application, or the Content, you can contact the designated Grievance Officer of CSPL, namely,  Mr. Balamurugan Harikrishnan , at rhino@chelsoft.com.

The Grievance Officer of CSPL shall acknowledge the User grievances, or complaints or concerns with respect to the Application, or the Content, within 24 hours of receipt of the same and shall endeavor to redresses the same at the earliest and in no event later than 15 (fifteen) days of receipt of such request.
